General Terms and Conditions of Use

Please read these General Terms and Conditions of Use carefully as they contain important information about Users' rights and obligations. They include various limitations and exclusions, as well as obligations relating to compliance with applicable laws and regulations. 1. Purpose

Go Job U.K LTD(Company number: 13368960) whose registered office is at 6th Floor, 1 London Wall, London, EC2Y 5EB . (hereinafter "Gojob") publishes a platform for connecting temporary workers and Customers which is accessible on a website at www.gojob.com or in the form of a mobile app and designed to connect workers looking for temporary jobs and Customers looking for human resources (hereinafter the "Platform").To contact us, please email [support@gojob.com ].

The purpose of these General Terms and Conditions of Use is to govern access to the Platform and the arrangements for its use. Please read them carefully.

Users may not use the Service without first having read and accepted the General Terms and Conditions of Use when they register on the Website.

2. Definitions

Account: means the Member's account on the Website, App or Services

Advertisement: means an offer of employment with a Customer, proposed through the Website, the App or the Services.

Gojob, "we" or "our": means Go Job U.K LTD(Company number: 13368960) whose registered office is at 6th Floor, 1 London Wall, London, EC2Y 5EB.

Customer: means a natural person or legal entity who or which is looking for a human resource to perform a Job.

Member or "you": means a User who has registered on the Website, the App or the Services and accepted the GTCU.

Job: means the specific task entrusted by a Customer to a Worker.

Worker: means a natural person who or which wishes to reply to an Advertisement or perform a Job

User: means a natural person or legal entity who or which uses the Website, the App or the Services

Gojob provides an on-line platform designed to enable natural persons or legal entities looking for human resources to perform jobs (hereinafter the "Customers") and natural persons looking for a job (hereinafter the "Workers") to consult, connect and enter into contracts (hereinafter the "Services").

These Services can be accessed via a website called "Gojob", accessible at www.gojob.com/ and in the form of an app for mobile devices called "Gojob" (hereinafter the "App").

Customers, Workers and generally anyone using the Services via the Website or via the Apps are referred to as the "Users". The Users and Gojob are collectively referred to as the "Parties".

The "Member Area" is the private area of the Website reserved for each User after they have registered on the Website and accepted the General Term and Conditions of Use (hereinafter the "GTCU"). It can be accessed by logging in with Identification Codes.

3. Amendment

Gojob develops the features and functions of the Website, the App and the Services to ensure their functioning and quality. Gojob may unilaterally amend the GTCU, without notice, in relation to technical developments, provided that this does not result in price increases or alter the quality and that the features subject to which the Member made their commitment have been included in these GTCU. The most recent version of the GTCU supercedes previous versions.

4. Registering on the Website

4.1 Registration requirements for the platform

The use of the Platform is reserved for natural persons aged 18 or over. Minors aged under 18 are strictly prohibited from registering on the Platform. By accessing, using or registering on the Platform, you represent and warrant that you are aged 18 or over.

4.2 Creating an account

The Platform enables Members to publish and view Advertisements. You can view the Advertisements even if you are not registered on the Platform. However, you cannot publish or reply to an Advertisement without having first created an Account and become a Member.

To create an Account, you must:

  • Have read the Privacy Policy
  • and have accepted these GTCU
  • Fill in all of the required fields on the registration forms.

These required fields will be marked with asterisks (*). The User must provide accurate information regarding their identity and contact details which they undertake to update immediately if there are any changes.

If the User provides false information, Gojob may suspend and/or terminate access to the Service immediately, without notice or compensation.

4.3 Privacy and identification codes

When they register on the Website, the User creates a Member Area and determines a login ID (corresponding to their telephone number) and an associated password (hereinafter the "Identification Codes").

As stated in the Privacy Policy, the Member has the right to object and the right to withdraw their consent, as the case may be.

The User shall therefore be free to unregister from the Website as a member, at any time, by sending an e-mail to: support@gojob.com or via the form provided for this purpose.

On receipt of this request, Gojob undertakes to delete the User's account/profile within one month of receiving the request. All data shall be deleted, apart from those required to be retained by the purposes stipulated and under the conditions described in the Privacy Policy.

4.4 Verification

The information you give us when you register and when your profile is created enables us to present your profile to our Customers in order to offer you the jobs best suited to your profile.

For this reason, Gojob may implement a system for checking the consistency of the information you give us on this occasion, on the strength of its legitimate interest in offering the best possible candidates to its Customers and offering its members jobs that match their profile. This is particularly the case when you enter your telephone number or provide us with proof of identity.

You acknowledge and accept that any reference on the Platform or the Services to "checked" information, or any term similar to "checked", simply means that a Member has passed the verification procedure that exists on the Platform or the Services. Gojob does not guarantee the veracity, reliability or validity of the information which has been subject to the verification procedure and does not accept liability for any of the information which has been subject to the verification procedure.

4.5 The Worker's obligations

To be listed as a Worker on the Website and to be visible to Users, you must provide us with accurate information, especially the information marked as required. Furthermore, the chances of being selected by our Customers significantly increase when they view complete profile pages with a photo, biography and details of skills and expertise. We therefore strongly recommend that you fill in your profile page as comprehensively as possible and update it on a very regular basis to maximise your chances.

However, you should only be able to be identified by your first name on your page. You therefore agree not to publish any information allowing you to be contacted directly (telephone number, e-mail address, logo, etc.). Otherwise, such information may be made invisible by Gojob or unfortunately lead to your profile being deleted.

We also provide you with the opportunity of benefiting from third-party recommendations by making documents recommending you available on your page. In this respect, you acknowledge that you have any permission required for publishing such documents. You shall at all times indemnify Gojob and hold Gojob harmless against lal losses, damages, costs or expenses and other liabilities (including legal fees) incurred by, awarded against or agreed to be paid by Gojob arising from such documents..

You may also be required to prove your identity or provide any other documents necessary for the Service to function (including, but not limited to, a work permit, an ID document and diploma(s)).

4.6 Account closure

If you provide false, inaccurate, outdated or incomplete data, the Company shall be entitled to suspend or close your account and refuse you any future access to all or part of the Services.

4.7 Personal Data

In connection with your use of the Platform, Gojob is required to collect and process some of your personal data. By using the Platform and registering as a Member, you acknowledge that Gojob will process your personal data in accordance with applicable law and as outlined in our Cookie Policy and our Privacy Policy.

These policies provide a detailed explanation of the processing operations carried out on the personal data of our Members (Gojobbers). They also provide full details of the terms and conditions of registration for candidates or temporary workers on our exclusion list.

4.8 Communications

When you register, you provide us with your contact details (mobile phone number or e-mail, in particular). By downloading the Gojob mobile app available from Play Store or the App Store, you can also authorise us to display push notifications on your phone.

Above all, by accepting these General Terms and Conditions of Use, you consent to these functions and contact details being used to communicate with you in connection with the implementation of these General Terms and Conditions of Use, particularly in order to:

  • Offer you jobs
  • Notify you that your pay slips are available
  • Manage your Gojob account (e.g.: re-set your means of authentication).

Being able to contact you on your e-mail and/or via your mobile phone number is necessary for the Services offered by Gojob to operate smoothly and enables the contract between us to be properly executed.

You will also be able to accept or deny the use of your e-mail and/or your telephone number for sales prospecting purposes.

5. Definition of the Services

Gojob provides the Users with the following services:

  • Consulting services to assist a Customer in the search for and selection of Workers.
  • Workers who have completed their profile page are listed in the database and may be offered job offers.

If the Customer and the Worker agree on the scope, the terms and conditions of the Job and the fees charged by the Worker in connection with a temporary job or wage portage:

6. Availability of the Website and Services

The User accesses the Website via the public URL www.gojob.com/en_gb/. Access to the Service requires the User to log on to the Website by entering their Identification Codes. The Website and the Service are available 24/7, except in cases of force majeure, when an event occurs which is beyond Gojob's control or volition, and subject to any breakdowns and maintenance or updating operations required for the Website to function properly and for the Service to be provided (hereinafter "Maintenance Operation").

The User is informed that the Website and the Service may be suspended in order to perform the Maintenance Operations. In this respect, Gojob undertakes to inform Users of the occurrence of a Maintenance Operation as soon as possible and with at least 24 hours' notice. If a malfunction or anomaly hinders the smooth functioning of the Website or the provision of the Service, Gojob undertakes to carry out the operations required to restore the Website and/or the Service as soon as possible. Support for using the Website and Services is available by sending an e-mail to support@gojob.com. Any problems connected with the User's Internet access or computer hardware are not covered by this support.

7. Financial terms

The Service is provided to the Customer for a fee and to the Worker free of charge.

For a temporary job, the total price paid by the Customer consists of the total cost of the employee's wages charged over the period of the job, plus commission.

The price of the Service provided by Gojob is shown on the Website. Unless otherwise mentioned, the price is stated in GB pounds and without tax.

The methods for paying the price of the Services are described on the website. Payment is made via Stripe by direct debit using the Customer's bank card number or by SEPA Direct Debit.

The User guarantees Gojob that they have the authorisations required to use the chosen payment method. They agree to take the appropriate measures so that the price of the Services can be paid by direct debit.

8. Evaluation

8. 1 Principle

The evaluation system is a specific feature of the Service. It creates trust between the Customer Users and Worker Users.

8.2 Evaluation

At the end of each Job, the Customer must evaluate the Worker's service in order to validate the Job. This evaluation consists of an overall score.

The evaluations provide an indication of the quality of the service carried out, the skills and expertise implemented in connection with the Job and the Customer's final satisfaction.

The evaluations left by Customers cannot be altered or deleted from the Worker's profile, unless the Worker makes an exceptional request to the Company explaining the situation and after notifying the Customer who made it.

The number of evaluations enables the Worker to benefit from a better ranking on the Website, based on criteria selected by the Customers and so raise their profile in the search results.

In the case of a low/negative evaluation, the Company may approach the Customer and/or the Worker to understand the reasons for this situation.

8.3 Managing difficulties during applications or jobs

One or more low evaluations of a Member, difficulties during the process for handling their applications (incomplete or incorrect information, inappropriate attitude during interviews, etc.), the improper execution or non-performance of the temporary jobs entrusted to them or one of their jobs finishing early, are all difficulties likely to be recorded and to affect the jobs subsequently offered to this Member.

The Member shall always be informed of this entry onto an exclusion register when the decision is made. This entry is only temporary (five years maximum). Gojob does not discriminate among its Gojobbers and shall only proceed with this entry for objective and legitimate reasons.

8.4 Evaluation of customers

Workers may be required to evaluate the Customer, in complete confidentiality, using objective criteria.

These evaluations are not intended to be published on the Website or the App and are used for information purposes for the smooth running of the Service.

9. Disputes

If the Customer cancels a service delivery offer which has been accepted by the Worker, a fixed handling fee of 50 GB pounds without tax shall be charged per Worker found, for expenses incurred by Gojob in connection with the search for Workers and the cancellation processing fees.

If the Job is cancelled by mutual agreement while in progress (instigated by either the Customer or the Worker), the Customer shall only be liable for the amount charged for the hours the Worker has actually worked.

10. Commitments

10.1

The User agrees to access and use the Website and the Services in accordance with the applicable laws and these General Terms and Conditions.

In this respect, the User acknowledges that, purely for the purposes of checking that the User is complying with these General Terms and Conditions and the applicable laws, the Company may read all of the Content published or exchanged on the Website.

10.2

The User agrees to make all the declarations and perform all the formalities necessary for their activity, and to fulfil all of their legal, industrial, administrative and tax obligations and all of the specific obligations they are responsible for, if any, under UK law and/or under the foreign legislation by which they are governed, in connection with their activity and the use of the Services.

If requested, the User agrees to provide the Company immediately with any documentary proof that they fulfil the conditions laid down in this article.

The User is solely responsible for properly completing the aforementioned formalities for which they are responsible. The Company may not be held liable in this regard.

10.3

The User is prohibited from publishing any 'contact information', such as a telephone number or e-mail address, on the Website pages that are accessible to other Users (including on the Worker's profile page, chat rooms, etc.). In any event, the Company reserves the right to delete such information.

10.4

The Users agree to make fair use of the Website and the Services and shall specifically refrain from circumventing the Services and the Website. Consequently, when a Worker and a Customer are connected through the Website with regard to a Job, they agree to enter into a contract exclusively through the Website.

Any User who notices a circumvention of the Company's Services or who is encouraged to circumvent them by another User agrees to inform the Company immediately.

Likewise, all Users are prohibited from extracting content from the Website for a similar or rival activity, or for recruitment purposes.

10.5

The Customer agrees to make a serious and sufficiently detailed Job offer to the Worker(s) with whom they come into contact through the Website in order to obtain a fee proposal.

In this respect, the Customer agrees to provide the Worker with any necessary clarification so that the description of the Job offer is as accurate as possible and does not mislead the Worker.

The Customer is prohibited from contacting a Worker for a job which they do not intend to honour.

The Customer is prohibited from using the Services and the Website for promoting their business or a third party's business. In this respect, they specifically agree not to send any advertising messages to the Website Users or canvass them.

The Customer agrees to comply with the legal and regulatory provisions on the use of temporary workers and Wage Portage.

10.6

The Customer agrees not to ask their financial institution to cancel their payment by electric money provision and/or not to revoke the direct debit authorisation granted to the Company during the course of a Job.

11. Liability

11.1

The Company does not exclude or limit in any way its liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of its employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

11.2

The User is solely liable for direct or indirect damage they may suffer as a result of any incorrect, incomplete and/or misleading information they provide when they register or if such information is not updated, the consequences of which they alone shall bear.

11.3

The User is solely responsible for all the Content they choose to place online on the Website, as the Company does not check the Content before it is placed online. The User is expressly prohibited from publishing any Content which is offensive, defamatory, denigrating, libellous, racist, xenophobic, contrary to morality and public decency, infringing, injurious to public order or third-party rights or liable to infringe the Company's rights, reputation and image, and more generally the content of which would contravene the law and/or the regulations, including criminal law and/or regulations.

11.4

The Customer is solely responsible for the description of the Job offer for which they are requesting a fee proposal from the Worker. If there is an error in the description of the Job offer, the Customer/Project Leader alone shall cover any additional services necessary and extra costs related thereto by formalising a Job addendum with the Worker through the Website. The Customer undertakes in particular to publish a Job offer that complies with all applicable law and regulation in the UK (for example, non-discrimination).

11.5 If you are a business user :

(a) The Company excludes all implied conditions, warranties, representations or other terms that may apply to the site or any content on it.

(b) The Company will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • use of, or inability to use, the site; or
  • use of or reliance on any content displayed on the site.

In particular, the Company will not be liable for:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

11.6

The Company shall do its use reasonable endeavours to ensure that the Website and the Services function correctly and can be accessed 24 hours a day, 7 days a week.

However, given the limitations of the Internet, the Company cannot rule out that access to and the functioning of the Website and the Services may be interrupted, particularly if there is a force majeure event, if the User's equipment malfunctions, if the User's Internet network malfunctions or if maintenance operations are being carried out to improve the Website and the Services.

Consequently, the Company may not be held liable for any interruption of the Services, whether intentional or not, it being specified that it agrees to do its utmost to limit the interruptions caused by it.

In connection with a Job concluded in the form of temporary labour:

11.7 The Worker's responsibility:

The Worker agrees to sign their Job contract within 48 hours after their job has started. For temporary jobs signed with the Company, the Worker must comply with the provisions of the employment contract concluded with the Company. In particular, they must follow the directions given by their line manager, by means of general instructions or memos, when performing their duties. They also agree to comply with the provisions of the Company's Rules of Procedure which they acknowledge that they have read. Furthermore, the Worker agrees not to start the Job if the contracts relating thereto have not been signed.

11.8 The Company's responsibility:

The Company is required to provide the Users with services which comply with its professional standards and requirements and has the appropriate equipment for this purpose and competent operational staff. The Company is only bound by a reasonable efforts obligation and under no circumstances shall be held liable for indirect loss, such as loss of business, loss of customers, loss of orders, any business disruption, loss of profit or loss of brand image.

In the event of force majeure or circumstances beyond its control, including if access networks or networks accessible by the Services are interrupted, or if the User's receiving equipment or line fails, the Company may not be held liable for any loss of data, alteration, modification, interruption, slowness and inaccessibility of the Internet network or any other problem affecting transmissions on the telecommunication networks and disrupting the use of the Website or the Internet which is not directly or exclusively caused by it. If the Users do not sign the contracts relating to the Job in a timely manner, the Company does not accept responsibility for the successful completion of the Job. In particular, the Company shall not be linked to the Users, who shall then be required to sort out their respective situations among themselves.

11.9 In other Job cases:

The User is solely responsible for concluding and performing contracts relating to a Job that they conclude with another User through the Website, the Company's only involvement being to connect them with each other. The conclusion and performance of such contracts which are directly between a Worker and a Customer take place at the instigation and under the exclusive responsibility of the Worker and the Customer.

11.10

The Worker acknowledges that the technical resources and tools provided by the Company for invoicing do not release them from their responsibility regarding their legal obligations in this respect, in particular with regard to the compulsory information which must appear on their invoices or in terms of applicable taxes.

11.11

The Company provides Workers and Customers with technical resources and tools enabling them to establish relations for the purposes of completing a Job and concluding a service contract through the Website. Its responsibility is limited to providing such resources, as described herein, and connecting Workers and Customers.

The Company and the Worker are independent parties, each acting in their own name and on their own behalf.

The Company does not conclude any contracts in the name of and/or on behalf of a Worker or a Customer. Workers and Customers enter into contracts with each other directly through the Website.

Consequently, under no circumstances may the Company be considered as a User's employee/employer, agent or principal.

In this respect, the Company may not be held liable for any cancellation of payment or revocation of the direct debit mandate instigated solely by the Customer, and any consequences that may arise therefrom.

11.12

The Company may not be held liable for any false, misleading or out-of-date information the Worker provides it with and which it forwards to the Customer, as part of the Worker verification option. However, the Company agrees to perform checks and due diligence in accordance with best practice and professional standards.

12. Paperless services

12.1 Paperless services are mandatory and free

They facilitate the production and processing of administrative documents and flows related to Jobs and their associated Contracts. As such, they are an integral part of the Services.

Users fully accept the implementation of such paperless servicesFor temporary employees or wage portage employees:

The paperless services enable employees to:

Sign employment contracts or related documents (addendums, etc.) and

Activate a digital safe (hereinafter "Digital Safe") in order to:

Receive pay slips in electronic format

Receive electronic documents from the Company, and

Store personal electronic documents.

The Digital Safe is a storage area which can be accessed remotely. This Digital Safe is provided by a third-party company.

Following the activation of the services, the User shall receive an e-mail for the provision of the Digital Safe service and to create their login credentials. The Digital Safe Service is subject to the General Terms and Conditions of Activation and published by the company that hosts it. Once subscription to the Digital Safe has been confirmed, the User is also directly linked to the company operating this safe and may continue to benefit from the Digital Safe, under the terms and conditions published by said company, including after their relationship with the Company has ended.

12.2 For registered Workers who invoice Customers directly:

The paperless services enable registered Workers to:

Sign service contracts and any related documents (addendums, etc.) and

Activate a digital safe (hereinafter "Digital Safe") in order to:

Receive pay slips in electronic format

Store contracts and related documents in electronic format

Receive electronic documents from the Company, such as time sheets, for example, or summary statements

The Digital Safe is a storage area which can be accessed remotely. This Digital Safe is provided by a third-party company.

Following the activation of the services, the Worker shall receive an e-mail for the provision of the Digital Safe service and to create their login credentials. The Digital Safe Service is subject to the General Terms and Conditions of Activation and Use published by the company that hosts it. Once subscription to the Digital Safe has been confirmed, the User is also directly linked to the company operating this safe and may continue to benefit from the Digital Safe, under the terms and conditions published by said company, including after their relationship with the Company has ended.

12.3 For Customers:

The paperless services enable Customers to:

Sign staff provision contracts or service contracts, and any related documents (addendum, etc.) and

Activate a digital safe (hereinafter "Digital Safe") in order to:

Receive pay slips in electronic format

Store contracts and related documents in electronic format

Receive electronic documents from the Company, such as time sheets, for example, or summary statements

The Digital Safe is a storage area which can be accessed remotely. This Digital Safe is provided by a third-party company.

Following the activation of the services, the Customer shall receive an e-mail for the provision of the Digital Safe service and to create their login credentials. The Digital Safe Service is subject to the General Terms and Conditions of Activation and Use published by the company that hosts it. Once subscription to the Digital Safe has been confirmed, the User is also directly linked to the company operating this safe and may continue to benefit from the Digital Safe, under the terms and conditions published by said company, including after their relationship with the Company has ended.

13. Paperless services

13.1 Paperless services are mandatory and free.

They facilitate the production and processing of administrative documents and flows related to Jobs and their associated Contracts. As such, they are an integral part of the Services.

Users fully accept the implementation of such paperless services. In particular, Users who are Company employees expressly agree to receive their pay slips and any documents relating to their employment in electronic format from the Company, as stipulated in Article L3243-2 of the French Labour Code.

13.2 For temporary employees or wage portage employees:

The paperless services enable employees to:

  • Sign employment contracts or related documents (addendums, etc.) and
  • Activate a digital safe (hereinafter "Digital Safe") in order to:
  • Receive pay slips in electronic format
  • Receive electronic documents from the Company, and
  • Store personal electronic documents.

The Digital Safe is a storage area which can be accessed remotely. This Digital Safe is provided by a third-party company.

Following the activation of the services, the User shall receive an e-mail for the provision of the Digital Safe service and to create their login credentials. The Digital Safe Service is subject to the General Terms and Conditions of Activation and Use published by the company that hosts it. Once subscription to the Digital Safe has been confirmed, the User is also directly linked to the company operating this safe and may continue to benefit from the Digital Safe, under the terms and conditions published by said company, including after their relationship with the Company has ended.

13.3 For registered Workers who invoice Customers directly:

The paperless services enable registered Workers to:

  • Sign service contracts and any related documents (addendums, etc.) and
  • Activate a digital safe (hereinafter "Digital Safe") in order to:
  • Receive pay slips in electronic format
  • Store contracts and related documents in electronic format
  • Receive electronic documents from the Company, such as time sheets, for example, or summary statements

The Digital Safe is a storage area which can be accessed remotely. This Digital Safe is provided by a third-party company.

Once subscription to the Digital Safe has been confirmed, the User is also directly linked to the company operating this safe and may continue to benefit from the Digital Safe, under the terms and conditions published by said company, including after their relationship with the Company has ended.

14. Intellectual property

14.1 Intellectual property of the Website and the App

The Website or the App, and each of the elements comprising them, including, but not limited to, the texts, images, videos, photographs, trademarks, logos, company names and domain names, are the exclusive property of the Company or of its partners.

These elements are protected by intellectual property laws and other laws, including copyright.

Any full or partial reproduction or representation of the Website or any of the elements comprising it, without the Company's authorisation, is prohibited and constitutes counterfeiting punishable under the French Intellectual Property Code.

14.2 Intellectual property of the Content

Any User who publishes Content on the Website retains full ownership of everything they publish.

17. Changes to the General Terms and Conditions

Gojob reserves the right, at its sole discretion, to change the Website, the App or the Services or to change these General Terms and Conditions, including the Service Charges, at any time and without notice.

If these General Terms and Conditions are changed, we shall publish the change on the Website or on the App and send you a notification as soon as they are posted on the Website. We shall also update the "Last Update date" at the beginning of these Terms and Conditions. If you continue to access or use the Website, the App or the Services after we have announced a change on the Website or through the App, or sent you notification of the change, you accept the changed Terms and Conditions.

If the User does not subscribe to the new General Terms and Conditions, they have 24 hours from the date of notification to tell the Company by e-mail. If the User has not given notice of their disagreement within the timeframe provided above, they shall be deemed to have accepted the changes.

The Member's rejection of the changes terminates the GTCU and therefore the Member must immediately stop using the Website, the App and the Services. The most recent version of the GTCU supercedes previous versions.

Nobody else has any rights under this contract. This contract is between the User and the Company. No other person shall have any rights to enforce any of its terms.

These GTCU constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these GTCU.

If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

Even if the Company delays in enforcing this contract, the Company can still enforce it later. If the Company does not insist immediately that a user does anything it is required to do under these terms, or if the Company delays in taking steps against a user in respect of the user breaking this contract, that will not mean that the user does not have to do those things and it will not prevent the Company from, taking steps against the user at a later date. For example, if a user misses a payment and the Company does not chase you but the Company continues to provide the services, the Company can still require the user to make the payment at a later date.

19. Applicable law and jurisdiction

You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If you are a business, these General Terms and Conditions, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
